Terms of Service

Introduction

Welcome to Purple Circle LLC. By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

Definitions

As used in these Terms, the following terms have the meaning below:

• "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a party to this Agreement.
• "Customer" means the party entering into this Agreement and Order Form with Purple Circle.
• "Fees" means the amounts payable by Customer to Purple Circle for access to the Program.
• "Order Form" means the ordering document mutually executed by Purple Circle and Customer specifying the Program purchased, Fees, subscription period, and payment information.
• "Program" means the learning materials and live sessions provided by Purple Circle to help career coaches grow their business.
• "Subscription Period" means the term agreed between the Parties as detailed in the Order Form.

Engagement of Program

Purple Circle agrees to make the Program available to Customer pursuant to the terms of this Agreement and as specified in the attached Order Form. If any Customer Affiliate desires to access or use the Program, the Affiliate must enter into a separate Order Form governed by this Agreement. Customer shall be responsible for the acts and omissions of any of its Affiliates.

Compensation

Customer will pay the Fees as set forth in one or more Order Forms. Any renewal orders after the initial subscription period shall be subject to the subscription standard price in effect at the time of purchase. If Customer is late in making payments, Purple Circle reserves the right to charge interest. Customer will be liable for all third-party collection costs. Fees are exclusive of all applicable taxes. Customer shall be responsible for paying all such taxes.

Warranty Disclaimers

Except as otherwise agreed by the parties, Purple Circle provides the Program as-is and disclaims all representations, conditions, or warranties of any kind, express or implied, including but not limited to any warranties relating to merchantability, accuracy, fitness for a particular purpose, or non-infringement.

Independent Contractor Relationship

Purple Circle's relationship with Customer is that of an independent contractor. Nothing in this Agreement is intended to create a partnership, agency, joint venture, or employment relationship. Purple Circle is not authorized to make any representation, contract, or commitment on Customer's behalf.

Confidentiality

In performing the Program, Purple Circle will provide Customer with proprietary and confidential information. Customer shall hold the Purple Circle Confidential Information in strictest confidence and prevent any unauthorized access, use, or disclosure.

Purple Circle’s Employees, Contractors, and Agents

Purple Circle shall have the right to disclose Confidential Information only to those of its employees, contractors, and agents who need to know such information to perform the Program and who have entered into a binding written agreement protecting Customer’s rights and interests.

Termination

Termination Without Cause

Either party may terminate this Agreement without cause at any time when no Order Form is in effect upon written notice to the other Party.

Termination for Cause

Either party may terminate this Agreement immediately if the other party has materially breached the Agreement and failed to cure such breach within 30 days after notice by the non-breaching party is given.

Survival

The parties agree that those provisions in this Agreement that by their nature are intended to survive the termination of this Agreement shall survive the termination.

Non-Solicitation

Neither party shall, directly or indirectly, during the Subscription Period of this Agreement and any Order Form and for one year thereafter, contract with or hire any of the other party’s employees or contractors without prior written approval.

Successors and Assigns

Neither Party may delegate or assign this Agreement without the other Party’s prior written consent. Any attempted assignment in violation of the foregoing will be null and void.

Notices

Any notice required or permitted by this Agreement will be in writing and delivered as follows: by personal delivery, overnight courier, email, or certified or registered mail. Notice will be sent to the addresses specified in the Order Form or as otherwise designated in writing.

Governing Law; Venue

This Agreement will be governed by the laws of Wyoming, without giving effect to any conflicts of laws principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts in Sheridan County, Wyoming.

Dispute Resolution

The parties agree to submit to the exclusive jurisdiction of the state and federal courts with jurisdiction over Sheridan County, Wyoming, and waive any objection to proceedings in such court on grounds of venue or inconvenient forum.

Severability

Should any provision of this Agreement be held illegal, invalid, or unenforceable, the legality, validity, and enforceability of the remaining provisions will not be affected.

Waiver

The waiver by either party of a breach of any provision of this Agreement will not operate as a waiver of any subsequent breach.

Indemnity

Customer and Purple Circle each agree to indemnify, defend, and hold harmless the other party from all claims and suits by third parties arising out of the performance under this Agreement, including reasonable attorney’s fees.

Limitation of Liability

Neither Customer nor Purple Circle shall be liable for any indirect, special, incidental, or consequential damages. The entire liability under this Agreement shall not exceed the amounts actually paid by the Customer to Purple Circle.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements. Any changes to this Agreement must be made in writing and signed by both parties. This Agreement may be executed in counterparts, each of which will be deemed an original.

Promotions, Discounts, and Trials

Purple Circle may offer promotions, discounts, or trials from time to time. The specific terms and conditions of each promotion, discount, or trial will be disclosed at the time of the offer. These offers are not guaranteed to be available at all times and are subject to change or termination without notice. Customers must agree to the terms of the promotion, discount, or trial at the time of participation.
