These Terms of Service ("Terms") are a binding agreement between you and Purple Circle LLC ("Purple Circle," "we," "us," or "our") and govern your access to and use of our website at https://joinpurplecircle.com, our community membership, our AI-powered assistant, our text-messaging program, and any related services (together, the "Services"). By accessing or using the Services, creating an account, or opting in to receive messages from us, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Who We Are

Purple Circle is a community and membership for career-coaching businesses, together with related tools and services, including an AI-powered assistant you may reach by text message. Our privacy practices are described in our Privacy Policy, which is incorporated into these Terms by reference.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that the information you provide is true, complete, and accurate.

3. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Membership, Fees & Billing

Fees. Certain Services require payment of membership or subscription fees, which are described at the point of purchase. All fees are stated in U.S. dollars unless noted otherwise.
Payment processing. Payments are processed by Stripe. By providing payment information, you authorize us and Stripe to charge the applicable fees. We do not store full payment card numbers.
Renewals. Subscriptions and memberships may automatically renew for successive periods until cancelled. You authorize recurring charges until you cancel.
Cancellation & refunds. You may cancel as described in your account or by contacting us. Except where required by law or expressly stated, fees are non-refundable. Cancellation stops future renewals; it does not refund the current period.
Taxes. You are responsible for any applicable taxes other than taxes based on our net income.

5. The Services

The Services may include access to our community, content, events, and an AI-powered assistant that can help you with tasks such as summarizing information and preparing for meetings. We may add, change, suspend, or discontinue any part of the Services at any time. We do not guarantee that the Services will be uninterrupted, error-free, or available at any particular time.

6. AI-Powered Features

Some features are powered by artificial intelligence provided through third-party AI service providers, including Anthropic and OpenAI. AI-generated output may be inaccurate or incomplete and is provided for informational purposes only; it is not professional, legal, financial, medical, or other regulated advice. You are responsible for reviewing AI output before relying on it. Your use of AI features is also subject to the applicable AI provider's terms and policies, and your input and output may be processed by those providers as described in our Privacy Policy.

7. SMS / Text Messaging Program

By providing your mobile phone number and opting in, you consent to receive recurring automated text (SMS) messages from Purple Circle, including service notifications, daily briefings, and meeting-prep messages from our AI assistant. Consent to receive these messages is not a condition of any purchase.

Message frequency varies.
Message and data rates may apply.
Reply STOP to cancel at any time. After you send STOP, we will send a confirmation and then stop sending messages; reply START to opt back in.

Carriers are not liable for delayed or undelivered messages.
Supported carriers may change, and we may discontinue the messaging program at any time.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging originator opt-in data and consent will not be shared with any third parties, except with the service providers that help us deliver the messages you requested (for example, our messaging provider). See our Privacy Policy for details on how we handle your information.

8. Acceptable Use

You agree not to:

use the Services for any unlawful, harmful, or fraudulent purpose;
infringe the intellectual property or privacy rights of others;
upload malware or attempt to gain unauthorized access to the Services or other accounts;
interfere with or disrupt the integrity or performance of the Services;
attempt to reverse engineer or misuse any AI feature, or use the Services to build a competing product; or
use the Services to send unsolicited or unlawful messages.

9. Intellectual Property

The Services, including all content, software, and materials we provide, are owned by Purple Circle or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own lawful purposes in accordance with these Terms. All rights not expressly granted are reserved.

10. Your Content

You retain ownership of content you submit to the Services ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, and use Your Content solely to operate and provide the Services. You are responsible for Your Content and represent that you have the rights necessary to submit it.

11. Third-Party Services

The Services may integrate with or link to third-party services (such as Stripe, AI providers, messaging providers, and Google services). We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any AI output will be accurate or reliable.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PURPLE CIRCLE AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold harmless Purple Circle from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, Your Content, or your violation of these Terms or applicable law.

15. Termination

You may stop using the Services at any time. We may suspend or terminate your access at our discretion, including for violation of these Terms. Upon termination, your right to use the Services ends; sections that by their nature should survive (including payment obligations, disclaimers, limitation of liability, and indemnification) will survive.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute not subject to arbitration or small-claims court will be the state or federal courts located in Wyoming, and you consent to their jurisdiction. Nothing in these Terms limits any right you may have under applicable consumer-protection law.

17. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by a revised "Last updated" date and will be effective as soon as it is accessible. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
